NSE set to kick off IPO process after SEBI nod, board meeting on Friday to approve financials and form IPO panel
After receiving a go-ahead from market regulator Securities and Exchange Board of India (SEBI), NSE is likely to take up the IPO process before the board of the exchange. As per sources, the NSE board is meeting on Friday to consider December quarter results, and in this meeting, an IPO committee of the board will be formed, mostly comprising the independent directors on the board.
The committee will then take forward the IPO process by first deciding the selection criteria for the appointment of merchant bankers and legal consultants for preparing and guiding the filing of the draft red herring prospectus (DRHP), which in common parlance is called the IPO application to the regulator.
As per one source, the exchange may target the filing of the DRHP by March-end, or early April. With September quarter audited numbers exchange can file by March-end. In case the documentation takes more time, it is likely to be filed by April, with December quarter audited numbers. Regulatory norms prescribe that a DRHP can be filed with audited numbers that are not more than six months old.
Once the IPO committee of the board finalises the criteria for selection of merchant bankers, the qualified ones will be called and briefed formally about the IPO plans, following which pitches or a ‘beauty parade’ of merchant bankers will begin. Sources indicate that a large number of domestic and foreign bank-owned merchant bankers are expected to be part of the process.
